北京2026年9月11日 美通社 －－ Analog Devices, Inc. （Nasdaq： ADI）与Alif Semiconductor宣布，双方已达成最终协议，ADI将以13.5亿美元全现金交易收购Alif。

人工智能正迈入新阶段：模型不再局限于解读文本与图像，而是开始理解语境并与物理世界交互。这一转变要求系统能够基于运动、声音、振动、无线电波及热力学等信号进行推理，并在严苛的功耗、时延、安全性及可靠性约束下实现本地运行。而这正是ADI对“物理智能”的解读。

Alif正凭借一个由高能效AI原生微控制器与融合处理器构成的精密平台，重新定义边缘智能。平台采用异构架构，支持实时传感器融合、低时延推理和端侧AI，为各类具有严苛要求的物理系统注入高阶智能。

交易详情 
根据双方董事会已批准的协议条款，ADI将向Alif股东支付13.5亿美元的前期现金对价，具体以最终协议条款为准。此外，ADI还可能会支付最高2亿美元的额外或有对价。该交易预计将于2026年底前完成，具体取决于惯常的交割条件，以及修订版《1976年哈特－斯科特－罗迪诺反垄断改进法案》规定的适用等待期（及其任何延期期限）届满。
